> Demo version, draft, not legal advice, to be validated by a lawyer. Translation of the French text; in case of discrepancy, the French version prevails (see B1).

# Each Terms of Use

Demo version of October 20, 2026, applies to Each services

These terms form a contract between you and **Solutions Each inc.** ("Each", "we"), **[Address to be confirmed]**, **[NEQ to be confirmed]**, **[Contact email to be confirmed]**. By creating an account, signing in or using the service (including through an assistant you connected), you accept these terms. If you do not accept them, do not use the service.

Some rules change depending on where you live: see **Part B**. If you use Each for a brand, a business or an organization, **Part C** also applies. **Nothing in these terms deprives you of the rights that the law of your place of residence grants you and that cannot be waived by contract.** Each exclusion or limitation below applies only **to the extent permitted by applicable law**.

# Part A · General terms

## 1. The service and demo mode

Each gives you a page of your own, where the places you love and what your world does thanks to you are confirmed by the businesses themselves. Each is offered as a **demonstration version**. Pages, people, brands, challenges, perks, receipts and figures may be **demonstration or test data** that do not describe real facts, current offers or real people. We may modify, suspend, reset or withdraw all or part of the service, and erase demonstration data, at any time and without notice.

## 2. Your account

- You sign in with a **passkey** on your device, without a password. You are responsible for the security of your devices, their locking and the devices you link to your account. Everything done with your account, your devices or your tokens is deemed done by you.
- Your information must be accurate. Your @handle must not impersonate a person or a brand; we may remove or change it.
- **Minimum age: [minimum age to be confirmed].** Each is not intended for children under 13, and we do not knowingly collect their information.
- The account is personal and cannot be transferred.

## 3. What is public and what is private

- **Your page** (/p/{handle}) is public only if you make it public. It shows what you put on it and **counters** (confirmed proofs, perks, brands).
- **The content of your proofs** (text, links, photos, places) is seen only by you and by the people who confirm for the brand concerned. Public pages and data show only figures.
- **Brand pages** (/b/{slug}) show the number of people who joined the brand and only those whose page is public. The member list of a network (for example the GAB) is public.
- Clicks on your links go through a tracked link (/p/{handle}/go/…) and are counted.

## 4. Your content and the licence you give us

You remain the owner of your content (text, photos, links, proofs). You grant Each a **worldwide, non-exclusive, royalty-free, transferable and sublicensable licence** (to our providers and to the brands concerned) to host, store, reproduce, adapt, translate, display, communicate and distribute this content in order to operate, show, improve and promote Each, including the aggregated and anonymized data we derive from it. This licence lasts as long as the content is on the service, then the reasonable time needed to remove it from backup copies; it survives for aggregated and anonymized data and for what the law requires us to keep. To the extent permitted, you waive asserting your moral rights in this content against Each for these uses.

You warrant that you have all necessary rights in your content, including the consent of the people who appear in it, and that it violates no law and no right. We may remove or refuse any content, without any obligation to monitor it.

## 5. Proofs, confirmations and honesty

- A **proof** says that something really happened (visit, purchase, action, friend brought along "Me too", post, QR code). It counts only if it is **confirmed by the brand**. Only confirmed proofs count for challenges, perks and figures.
- A person who confirms cannot confirm their own proof or earn that brand's perk. Decisions are made on an approval page (/ok/…) opened by the person: opening the link decides nothing, only the tap decides.
- False proofs, multiple accounts, confirmation swaps or manipulation are prohibited. We may, at our discretion, refuse, remove or cancel proofs, perks, memberships or accounts. **Counters, perks and statuses have no monetary value**, cannot be redeemed for money and may be corrected or removed.

## 6. Assistants (bots, AI) acting for you

- You can connect **one assistant at a time** (your own or the built-in "Each" assistant) through a connection code you approve or a token you create. The assistant can **read and prepare**; it can **never decide**: nothing is sent, confirmed, accepted or paid without your tap.
- **You alone are responsible** for the choice of your assistant, its instructions, the safekeeping of your token and everything you approve. Content produced by an assistant or a language model may be inaccurate, incomplete or inappropriate: **Each guarantees no result produced by an assistant, built-in or third-party**, and is not responsible for third-party assistants.
- Every write is recorded with the person, the assistant's name and the token identifier (audit log). You agree that this log serves as proof of the actions taken with your account.
- The API (see /llms.txt and /docs) is provided without any stability commitment; its rules and usage limits are part of these terms. We may limit, suspend or revoke any access or token.

## 7. Brands, offers and third-party services

- A brand's challenges, offers, perks and claims are **solely the brand's**. Each does not sell these offers, does not guarantee their accuracy, availability or fulfilment, and is not a party to the relationships between you and a brand.
- Each relies on third-party services (for example our infrastructure for hosting, your mobile wallet, our future payment processor, third-party language models and assistants, your browser and your operating system). Their use is subject to their own terms; **Each is not responsible for these services**, their outages or their policies.

## 8. Memberships and payments

- In demo mode, membership in a network (for example the GAB, $20 per year, sold by Each) is "paid" with a tap: **no card is requested and no real amount is charged**; the receipt is a demonstration receipt. The network administrator accepts or refuses; a refusal cancels the purchase.
- When real payments are offered, the price, taxes, payment method, renewal and refund policy will be shown before purchase: **[Payment, tax and refund terms to be confirmed]**. Unless otherwise indicated or required by law, amounts paid are not refundable.

## 9. Acceptable use

It is prohibited in particular: to publish illegal, hateful, harassing, misleading or sexually explicit content, or content that infringes the privacy or rights of others; to impersonate anyone; to create false proofs or fake accounts; to circumvent security, usage limits or access controls; to scrape massively or overload the service; to reverse engineer except where the law allows it; to send spam through invitations; to have an assistant decide in place of a person or to open an approval link not intended for you; to use Each in violation of sanctions or export laws.

## 10. Each's property and feedback

The service, its code, its trademarks (including "Each" and "EACH - More of us"), its design and its documentation belong to Solutions Each inc. or its licensors. You receive only a personal, revocable, non-exclusive and non-transferable right to use it under these terms. Ideas and feedback you send us may be used freely, without any obligation to you.

## 11. Privacy

We process your personal information to operate, secure and improve Each (account, passkey, page, proofs, linked devices, security and audit logs). We do not sell your information. The service is hosted on our infrastructure; hosting location and transfers outside your province or country: **[to be confirmed]**. Person in charge of the protection of personal information: **[Name and contact details to be confirmed]**. Privacy policy: **[Link to the privacy policy to come]**. Region-specific rights are summarized in Part B.

## 12. Availability and no warranty

**The service is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, continuous availability or absence of errors, to the extent permitted by law.** Demo mode may include interruptions, errors and data loss. Some features (location, camera, NFC, notifications) depend on your device.

## 13. Limitation of liability

To the extent permitted by law: (a) Each, its officers, employees and providers are not liable for indirect, incidental, special, punitive or consequential damages, or for loss of profits, data, reputation or opportunities; (b) Each is not liable for the actions of a brand, another user, an assistant or a third-party service; (c) Each's total liability, for all causes combined, is limited to the greater of: the amounts you paid Each during the 12 months before the event, or CAD 100. These limits do not apply to intentional or gross fault or to bodily or moral injury where the law prohibits it.

## 14. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Solutions Each inc., its officers, employees and providers against any claim, loss, liability, fine or expense (including reasonable legal fees) arising from your content, your proofs, your use of the service, your assistant or your tokens, or your violation of these terms, the law or the rights of a third party.

## 15. Suspension, closure and changes to the service

We may, at our discretion and at any time, suspend or close your account, remove your page or your content, revoke tokens or refuse access, in particular in case of violation, abuse, risk to others, legal requirement or end of demo mode, notifying you when reasonable. You may stop using Each and request the closure of your account: **[Closure procedure to be confirmed]**. Sections 4, 5 (last paragraph), 6, 7, 10, 12, 13, 14, 16 to 19 and Parts B and C survive the end of the contract.

## 16. Changes to the terms

We may modify these terms. The new version will be published here with its date and, for a significant change, notice will be given to you through the service at least **[30] days** before it takes effect, with, where the law requires it, a description of the change and your right to refuse by closing your account at no cost. Continuing to use Each after the effective date constitutes acceptance.

## 17. Governing law and courts

These terms are governed by the laws of Québec and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to Part B (consumers in Québec, the rest of Canada, the United States and elsewhere), the courts of the **judicial district of Montréal** have exclusive jurisdiction.

## 18. Time limit to act

To the extent permitted by law, any claim against Each must be brought within **one year** of the fact giving rise to it, failing which it is time-barred. This time limit does not apply where the law prohibits it (in particular to Québec consumers).

## 19. General provisions

- **Assignment:** Each may assign or transfer these terms, in whole or in part, in particular in a reorganization or a sale; you may not assign them without our written consent.
- **Force majeure:** Each is not liable for a delay or non-performance caused by an event beyond its reasonable control (outage of a provider or of the Internet, cyberattack, disaster, labour dispute, decision of an authority, epidemic).
- **Severability:** if a clause is found invalid or unenforceable, it is reduced to the extent necessary and the rest remains in force.
- **No waiver:** not exercising a right is not waiving it.
- **Entire agreement:** these terms, the privacy policy and the rules displayed in the service (including /llms.txt for assistants) form the entire agreement between you and Each on their subject.
- **Notices:** we may notify you through the service, on your page or on your linked device.
- **Language:** see Part B (Québec).

# Part B · Rules depending on where you live

## B1. Québec

- **Consumer Protection Act (CPA):** if you are a consumer in Québec, the clauses that exclude or limit Each's liability or the legal warranty of quality, or that impose mandatory arbitration or a class action waiver on you, **do not apply to you**. Sections 12, 13, 14 (for the part exceeding your own fault), 18 and section B3 on arbitration cannot be set up against you to the extent the CPA prohibits it. You may go to the court of your domicile. Contract changes are submitted to you according to the requirements of the CPA (prior notice, right to cancel at no cost).
- **Law 25 (protection of personal information in the private sector):** you may request access to your information, its correction, the cessation of its dissemination, its de-indexing, its portability, or withdraw your consent, by writing to the person indicated in section 11. A confidentiality incident presenting a risk of serious injury will be reported to you and to the Commission d'accès à l'information.
- **Charter of the French language:** these terms are written in French. A translation may be offered; **in case of discrepancy, the French version prevails.**

## B2. Rest of Canada

If you are a consumer in another province or a territory, the consumer protection laws of your province may give you rights that cannot be waived (for example on warranties, arbitration clauses or court jurisdiction); these rights prevail over contrary sections. Your personal information is processed in accordance with the **Personal Information Protection and Electronic Documents Act (PIPEDA)** and applicable provincial laws.

## B3. United States

- **NO WARRANTIES. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH’S TOTAL LIABILITY IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID EACH IN THE 12 MONTHS BEFORE THE CLAIM OR USD 100.** Some states do not allow these exclusions; they then apply to the extent permitted.
- **Mandatory individual arbitration and class action waiver:** if you reside in the United States, any dispute with Each will be resolved by **binding individual arbitration** administered by **[arbitration body to be confirmed, e.g. AAA, consumer rules]**, and not in court, except small claims and requests for injunctions regarding intellectual property. **You waive participation in any class action, collective action or class arbitration, and a jury trial.** The Federal Arbitration Act governs this clause.
- **Right to opt out:** you may refuse this arbitration clause by writing to us at **[opt-out address to be confirmed]** within **30 days** of creating your account, with your @handle and your decision. Opting out does not affect the rest of the terms.
- **Copyright notice (DMCA type):** to report content that infringes your copyright, write to our designated agent: **[DMCA agent and contact details to be confirmed]**, with the information required by 17 U.S.C. § 512(c)(3). We may remove the content and close the accounts of repeat infringers.
- **Under 13 (COPPA):** Each is not intended for children under 13 and does not knowingly collect their information; such an account will be closed.
- **Messages (CAN-SPAM):** any commercial emails from Each will include a way to unsubscribe; account and security notices are not commercial messages.

## B4. Elsewhere in the world

- You are responsible for complying with the local laws that apply to your use of Each.
- If you reside in the European Economic Area, the United Kingdom or Switzerland, you may have rights over your data (access, correction, erasure, restriction, objection, portability, complaint to a supervisory authority) under the GDPR or an equivalent law; write to the person indicated in section 11. The mandatory rights of consumers in your country are not limited by these terms.
- You may not use Each if you are subject to economic sanctions or are located in a country under embargo, or use the service in violation of the export laws of Canada, the United States or your country.

# Part C · Brands, businesses and organizations (B2B)

If you use Each on behalf of a brand, a business, a network or an organization ("the Organization"), you represent that you have the authority to bind it, and the following rules are added:

- The Organization is solely responsible for its challenges, offers, perks, memberships, prices, claims and their fulfilment, for the honesty of its confirmations, for the confidentiality of the content of proofs its people have access to, and for compliance with the law (advertising, contests, consumer protection, privacy, taxes).
- Consumer protection laws do not apply to the Organization. **The service is provided to it "as is", without any warranty; Each is not liable for any indirect or consequential damage or loss of profits, and its total liability is limited to the amounts paid by the Organization to Each in the 12 months before the claim (or CAD 100 if no amount was paid).**
- The Organization indemnifies Each for any claim related to its offers, its content, its confirmations, its people or its assistants.
- The Organization grants Each the right to display its name, logo and page on Each and in the promotion of Each, as long as it uses the service.
- The courts of the judicial district of Montréal have exclusive jurisdiction; the time limit to act is one year.
